Място на изпълнение на услуга,оказана на данъчно незадължено лице

Въпрос: Кое е мястото на изпълнение на услуга, оказана на данъчно задължено лице?

Отговор: Общото правило за определяне мястото на изпълнение при доставка на услуга, когато получателят е данъчно незадължено лице, е мястото, където доставчикът е установил своята независима икономическа дейност.

Изключение от това общо правило предоставят услугите, за които съществуват специални разпоредби за мястото им на изпълнение, независимо дали са оказани на ДЗЛ или на ДНЛ:

  • При услуги, свързани с недвижими имоти- мястото на изпълнение е мястото, където се намира недвижимият имот.
  • Доставка на услуги по пътнически превози- мястото на изпълнение е мястото, където се извършва пътническият транспорт, пропорционално на реализирания пробег.
  • Ресторантьорски и кетеринг услуги- мястото на изпълнение е мястото, където услугата се извършва физически.
  • Мястото на изпълнение при доставка на услуга по краткосрочно отдаване под наем /краткосрочно предоставяне за ползване на превозни средства е мястото, където превозните средства фактически се предават на разпореждане на получателя.
  • Мястото на изпълнение при доставка надалекосъобщителни услуги, на услуги за радио-телевизионно излъчване и на услуги, извършвани по електронен път, по които получател е данъчно незадължено лице, е мястото, където това лице е установено, има постоянен адрес или обичайно пребиваване.

                Услуги, за които съществуват специални разпоредби за МИ, когато получателят им е ДНЗЛ

  • Доставка на услуга, оказвана от посредник, действащ от името и за сметка на друго лице, предоставена на данъчно незадължено лице, е мястото, където е основната доставка, във връзка с която е оказано посредничеството.
  • Транспорт на стоки в рамките на Европейския съюз- мястото на изпълнение е на територията на държавата членка, където транспортът започва, ако услугата е предоставена на данъчно незадължено лице.
  • Транспорт на стоки извън Европейския съюз-мястото на изпълнение е мястото, където се осъществява транспортът, пропорционално на реализирания пробег, ако услугата по транспортът на стоки е преводставена на данъчно незадължено лице.
  • Спедиторските, куриерските и пощенските услуги се приравняват на услуги по транспорт на стоки в Европейския съюз, съответно по транспортна стоки извън Европейския съюз.
  • Мястото на изпълнение при доставка на услуга по отдаване под наем или предоставяне за ползване на превозни средства, която е различна от краткосрочен наем или краткосрочно предоставяне за ползване на превозни средства на данъчно незадължено лице, е мястото, където получателят е установен или има постоянен адрес или обичайно пребиваване.
  • Мястото на изпълнение при доставка на услуга по отдаване под наем или предоставяне за ползване на плавателен съд, която е различна от краткосрочен наем или краткосрочно предоставяне за ползване на плавателен съд, за развлекателни и за спортни цели, или за лични нужди на данъчно незадължено лице, е мястото, където плавателният съд за развлечение фактически е предоставен на разположение на получателя по доставката, когато тази услуга фактически се предоставя от доставчика от мястото на установяване на стопанската му дейност или от постоянен обект, разположен на това място.
  • Доставка на нематериални услуги:
    • Ако услугата е предоставена на данъчно незадължено лице от трета страна, мястото на изпълнение е, където получанелят е установен или има постоянен адрес или обичайно пребиваване.
    • Ако услугата е предоставена на данъчно незадължено лице от Европейския Съюз, мястото мястото на изпълнение е, където доставчикът е установен или има постоянен адрес или обичайно пребиваване.
  • Доставка на услуги и съпътстващите ги услуги, свързани с културни, артистични, спортни, образователни, развлекателни или подобни мероприятия / включително панаири, изложби/, включително дейността по организирането им- мястото на изпълнение е мястото, където фактически се извършва услугата, предоставена на данъчно незадължено лице.
  • Доставка на услуги , свързани с транспортна обработка на стоки- мястото мястото на изпълнение е мястото, където фактически се извършва услугата, предоставена на данъчно незадължено лице.
  • Доставка на услуги по оценка, експертиза или работа по движима вещ- мястото на изпълнение е мястото, където фактически се извършва услугата, предоставена на данъчно незадължено лице.

Доставка с място на изпълнение извън България

Въпрос: Търгуваме с Гърция със стоки, внесени от китай. Гърците ни предлаган да внесем от наше име стоката в Гърция на тяхно пристанище и те да си я обмитят на тяхно име и да си платят ДДС-то.Възможно ли е това? Какви са последствията за нас? Ние какви документи трябва да издадем и как да ги осчетеводим? Как да бъде документирана тази продажба и от наша страна? Отчита ли се ВОД по ЗДДС?

Отговор: Определение за вътреобщностна доставка/ ВОД/ има в чл. 7,ал 1 от Закона за данък върху добавената стойност / ЗДДС/: „Вътнеобщностна доставка / ВОД/ на стоки е доставката на стоки,транспортирани от или за сметка на доставчика- регистрирано по този закон лице,или на получателя от територията на страната до територията на друга държава членка, когато получателят е данъчно задължено лице или данъчно незадължено юридическо лице, регистрирано за целите на ДДС в друга държава членка”

В случая доставката не е от територията на България до Гърция. Затова не е налице ВОД. Тази доставка не е ВОП и за гръцката фирма, защото стоката не се изпраща или транспортира до територията на страната от територията на друга държава членка на Европейския съюз.

При съществуване на доставка на стоки мястото на изпълнение се определя съгласно разпоредбите на чл. 17 от ЗДДС. Съгласно ал.2 от този член мястото на изпълнение при доставка на стока, която се изпраща или превозва от доставчика, получателя или трето лице, е местонахождението на стоката към момента, в който се изпраща пратката или започва превозът й към получателя.

Затова в описания случай е с мястото на изпълнение извън България.На основание чл. 86, ал. 3 от ЗДДС не трябва да се начислява данък. Във фактурата трябва да се посочва, че мястото на изпълнение е извън територията на страната.

За доказване на транспорта и мястото на изпълнение предприятието трябва да притежава потвърждаващи транспортни документи и договори.

Счетоводното отчитане на фактурите не се различава от покупките и продажбите на територията на страната. Различия има по отношение на декларирането на документите в дневниците по ЗДДС. Издадените фактури за доставки с мястото на изпълнение извън територията на страната следва да бъдат отразени в колона 23. ДО на доставки по чл. 62, ал. 2 от ЗДДС, вкл. ДО на доставките при условията на дистанционни продажби с място на изпълнение на територията на друга държава членка, от дневника на продажбите за данъчния период, през който са издадени.

Фактурата, която е издадена от доставчика от Китай, не трябва да се посочва в дневника покупки, защото е данъчен документ по смисъла на чл. 112 он ЗДДС.

Място на изпълнение на покупката на стоки и последващата продажба на същите

                Въпрос: Българска фирма, регистринана по ДДС само в България, купува стоки в гърция и от гърция осъществява износ за Турция, като стоките се транспортират от Гърция за Турция. Гръцкият търговец е издал фактура за вътреобщностна доставка на стоки за пробажбата към българската фирма, която е декларирана във VIES декларацията за съответния период.

                Къде е мястото на изпълнение на покупката на стоки и последващата продажба на същите на турска фирма?

                Отговор: На основание чл. 62, ал. 2 от Закона за данък върху добавената стойност / ЗДДС/ мястото на извършване на ВОП ще е в България, независимо, че стоките не пристигат в страната.Българското дружество следва да си самоначисли ДДС с протокол по чл. 117 ЗДДС, който да отрази в дневника за продажби. По отношение на този въпрос е налице практика на НАП- писмо изх. № 24-39-65 от 18.12.2015 г. и писмо изх. № 24-33-151 от 01.03.2012 г., в които изрично е прието, че за това ВОП, когато стоките не пристигат и превозът им не завършва на територията на страната, не възниква право на данъчен кредит за българската фирма- купувач. Като аргумент защо не възниква правото на данъчен кредит е посочено, че при тази схема на доставки стоките не се използват за извършване на облагаеми доставки в България или ЕС, защото са изнесени за трета страна. В писмата е посочено, че в случаите при трансгранични операции, които имат усложнен характер и при които възможностите за осъществяване на фискален контрол на държавите членки и облагането на реалната крайна доставка са затруднени, чл. 62 ал. 2. ЗДДС има роля на „защитна мрежа”,осигуряваща функционирането на механизма на ДДС, като елиминира възможността крайното потребление на стоката или услугата да не бъде обложено, като при начисляването на данъка при ВОП на основание на цитираната форма приспадане на данъчен кредит не се следва с оглед решения на СЕС по аналогични казуси- съединени дела Facet, С-536/ 08 и С- 539/ 08 от 22.04.2010 г.

                По отношение на последващата продажба на стоките от Турция следва да се отбележи, че това не представлява износ по смисъла на чл. 28 ЗДДС, защото стоката не тръгва от България за Турция. Тази доставща от българската на турската фирма представлява доставка с място на изпълнение в Гърция, защото там започва транспортът на стоката/ чл. 17, ал. 2 ЗДДС, аналитичен на чл. 32 от Директива 2006 / 1 12 /ЕО/. За тази доставка не се начислява ДДС на основание чл. 86, ал. 3 ЗДДС, защото е с място на изпълнение извън България, но следва българското дружество да се запознае с гръцкото законодателство поради обстоятелството, че този износ най- вероятно формира оборот за регистрация по ДДС в Гърция.

                В случая, ако българското дружество се регистрира по ДДС в Гърция,гръцката фирма –доставчик, ще начислява гръцкия ДДС, издавайки фактура на гръцкия ДДС номер, а при осъществяването на износа от Гърция за Турция би следвало гръцкия ДДС номер на българското дружество да има право на приспадане на начисления гръцки ДДС

Облагане с ДДС при продажбите на стоки чрез интернет

Въпрос: Българско дружество ЕООД работи онлайн тип Dropship – ще се опитам да го поясня максимално: Притежава онлайн магазин, продава в цяла Европа и извън ЕС, стока реално не притежава, материално не я получава, в сайта се получават снимки, предоставени от китайски производител, съответно дружеството слага надценка, например крайният клиент купува от сайта на българското дружество дреха за 20 евро – българското дружество от своя страна обработва поръчката и изпраща кода на стоката, както и 10 евро на китаеца, китаецът от своя страна изпраща стоката директно на крайния клиент, т. е. българското дружество реално печели само от разликата един вид комисиона от продажбата, въпросът ми е ЕООД –то трябва ли да внася ДДС по смисъла на дистанционните продажби или има определен режим, като се взема предвид, че плащанията минават през системата Paypal или по банков път.

Отговор: При продажбите на стоки чрез интернет, т. нар.онлайн продажби, възникват доставки, които излизат извън обхвата на общоприложимите нормативни разпоредби на ЗДДС и изискват по-особено внимание.

Такива са и продажбите, извършвани при посочените в запитването обстоятелства. Според тях въпросното дружество участва в продажби на стоки в качеството си на лице, което посредничи в сделката между продавача и купувача. Според информацията от запитването при тази си дейност то реализира печалбаот разликата между стойността, на която тя е продадена на купувача. Режимът за облагането на посредническите услуги зависи от това дали при осъществяването на посредничеството си посредникът действа от свое име, но за сметка на продавача, или действа от негово име и за негова сметка. И в двата случая неговото възнаграждение е под формата на комисиона, но редът за документиране и облагане на доставките му е съвършено различен.

Когато при изпълнението на задълженията си във връзка с посредничеството дадено лице извършва действия от името и за сметка на ангажиралия го търговец, то не участва в доставките на стоки и/или услуги, за които посредничи. Вследствие на това посредничеството му не е пряко свързано с облагането на тези доставки с ДДС и такова облагане може да се търси само за възнаграждението, получено от него за доставката на представената посредническа услуга. В резултат на това за целите на ЗДДС това лице не фигурира и не следва да фигурира като доставчик във фактурите за доставките на стоките или услугите, обект на неговото посредничество.По съвършено различен начин стоят нещата при посредничеството, извършено по силата на комисионен договор. Според чл. 127, ал. 2 от ЗДДС, когато комисионер действа от свое име, но за сметка на доверителя си, са налице три доставки :

-          доставка на стока между комисионера и третото лице;

-          доставка на стока между комисионера и доверителя, обект на която е прехвърлянето на вещните права върху стоката „от” трето лице;

-          доставка на услуга между комисионера и доверителя.

При действията си във връзка с покупката или продажбата на стоката или услугата, която комисионерът е продал или купил от свое име, но за сметка на доверителя си, той е действал от свое име, поради което формално е собственик на обекта на извършената сделка. В същото времеобаче по силата на вътрешните му взаимоотношения с доверителя действителен собственик на този обект е последният. Поради това търговското правоквалифицира прехвърлянето на правата върху обекта от комисионера върху доверителя като „отчетна сделка”. Предмет на тази сделка е същата стока или услуга, придобита или продадена от името на комисионера на трето лице (лица). Следователно доставката по отчетната сделка ще има предмет и стойност, еднакви със стойността на доставката между комисионера и третото лице. Това е отчетено в разпоредбата на чл. 127, ал. 2, т. 2 от ЗДДС, в съответствие с която данъчнат основа на доставката между доверителя и комисионера е еднаква с тази за доставката между комисионера и третото лице.

Обстоятелствата , изложени в запитването, дават основание да се предположи, че в случая българското дружество участва в продажбите в качеството на лице, действащо от свое име, „поръчката на търгуваната стока се извършва от негов сайт”, но за сметка на китайския продавач на стоката. Следователно за данъчното третиране на неговите доставки по ЗДДС е приложим редът, определен от чл.127 от закона.

Интересувате се дали въпросното дружество трябва да внася ДДС по смисъла на дистанционните продажби, или има определен режим, като се вземе предвид, че плащанията минават през системата на Paypal или по банков път.

Независимо от това, че в запитването ви липсва информация с какъвданъчен статут са лицата, на които се прехвърля собствеността върху продаваните стоки, „данъчно задължени или физически лица са те”, поради което не може да се даде точна оценка относно реда за документиране и облагане на възникващите при въпросните продажби доставки, при наличните данни може да се определи категорично, че в случая не възникват дистандионни продажби. За да е дистанционна дадена продажба, освен че следва да е предназначена за данъчно незадължено лице, установено в държава – членка на ЕС, търгуваната стока следва да се изпраща от територията на страната – нещо, което в случая липсва.

При изложените обстоятелства е много вероятно местоизпълнението на доставките, извършени от дружеството, да са извън територията на страната, при което то няма да дължи данък у нас. За да може да се даде законосъобразен и точен отговор на въпроса ви относно това дали за него възникват задължения за начисляване и/или за дължимост на ДДС у нас, са необходими допълнителни данни както относно лицата, на които се продават стоките – данъчен статут и държава на установяване, така и точният вид и съдържание на документите – търгиовски, данъчни и счетоводни, с които се документират и отчитат въпросните продажби. В запитването си не сте дали информация дори за това дали то е регистрирано или нерегистриранио по ЗДДС. Това, че плащанията по продажбите му се извършват по банков път или чрез системата на Paypal, не променя необходимастта от такива документи и задължението за тяхното издаване.

В заключение ще добавим, че разликата между това, което търгуващите приемат, че извършват при дадени обстоятелства, и онова, което излиза, че са извършили по силата на търговскоправния и документалния анализ на действията им във връзка с него, са особено съществени при посредничеството за доставки на стоки, извършвани за сметка на чуждестранни лица.

                Имам следния въпрос:Българска фирма сме, регистрирани по ЗДДС. Купуваме стоки от Чехия, но не я внасяме в България, а директно я изнасяме към фирма в Русия. Мисля, че не е ВОП, но въпросът ми е   каква е доставката и как следва да бъде документирана и отразена в дневниците?

 

 

 

                Действително не е налице вътреобщножстно придобиване по смисъла на чл. 13 от закона – няма движение на стоки между държави членки на Европейския съюз. Поради тази причина е неприложима и разпоредбата на чл. 26, ал. 2 от закона.

                Мястото на изпълнение на извършената от Вас към руската фирма доставка се определя съгласно разпоредбите на чл.17, ал. 12 от закона, а именно – доставка извън територията на страната (в случая – чехия, като за доставката биха били приложими аналогичните на чл.28 от нашия закон разпоредби в чешкото законодателство. В тази връзка добре би било да се провери възниквеат ли за Вас някакви задължения в Чехия във връзка с чешкия закон за ДДС). Тъй като доставката е извън териториалния обхват на закона, в издаваната от Вас фактура не начислявате данък на основание чл.86, ал.3 от закона.

               

В дневник продажби издадената фактура намира отражение в к. 23 – ДО на доставки по чл.69, ал. 2 ЗДДС, вкл. ДО на доставките при условията на дистанционни продажби с място на изпълнение на територията на друга държава членка. Нямате задължение да отразявате в дневник покупки получената от чешката фирма фактура.

               

ЗДДС:

               

                Чл. 13. (1)Вътреобщностно придобиване е придобиването на правото на собственост върху стока, както и фактическото получаване на стока в случаите по чл.6, ал. 2 която се изпраща или транспортира до територията на друга държава членка, когато доставчикът е данъчно задължено лице, което е регистрирано за целите на ДДС в друга държава членка.

                Чл. 17 (2) Място на изпълнение при доставка на стока, която се изпраща или превозва от доставчика, получателя или от трето лице, е местонахождението на стоката към момента, в който се изпраща пратката или започва превозът й към получателя.

                Чл. 69 (2) За целите на ал.1 за облагаеми доставки се смята и:

  1. доставките в рамките на икономическата дейност на регистрираното лице, които са с място на изпълнение извън територията на страната, но които биха били облагаеми, ако са извършени на теритоирията на страната.

Чл. 86 (3) Не се начислява данък при извършване на освободена доставка, особено вътреобщностно придобиване, както и при доставка с място на изпълнение извън територията на страната.

                Закупувам стоки от Холандия и ги подавам в Италия. Продавачът е регистриран в Холандия, купувачът на стоките е регистриранио в Италия лице, ние сме регистрирани тук. Транспортът от Холандия до Италиясе извършва от италианска фирма, различна от фирмата получател. За транспорта на нас ни е издадена фактура, самообложили сме се и после префактурираме този транспорт на фирмата получател. Какво следва в посочените случаи?

 

                За доставсата на стоките е налице тристранна операция по смисъла на чл. 15 от закона. Данъкът по тази доставка е дължим от крайния получател – италианската фирма. В издаваната от Вас фактура за продажба на стоките не начислявате данък, като за основание за неначисляване съгласно разпоредбите на чл. 114, ал. 3 и 4. от закона посочвата „чл. 141 2006/112/ЕО” и текста, че данъкът по доставката е дължим от получателя. Осъществената от вас доставка в качеството Ви на посредник в тристранна операция следва да бъде посочена във VIES –декларацията. За доказване на доставката следва да разполагате с документите, изброени в чл.9, ал. 2 от правилника за прилагане на закона.

                По отношение на префактурираната от Вас транспортна услуга – отново не начислявате данък, този път на основание чл. 86, ал. 3 във връзка с чл. 21., ал. 2 от закона. Данъкът по тази доставка е изискуем от получателя, а самата доставка също следва да бъде отразена от Вас във VIES –декларацията.

                ЗДДС:

                Чл. 15. Тристранна операция е доставката на стоки между три регистрирани за целите на ДДС лица в три различни държави членки на А, Б и В, за които са налице едновременно следните условия:

  1. регистрирано лице в държава членка на А (прехвърлител) извършва доставка на стока на лице, регистрирано в държава членка на Б (посредник(, което след това извършва доставка на тази стока на лице, регистрирано от държава членка на В (придобиващ);
  2. стоките се транспортират директно от А до В;
  3. посредникът не е регистриран за целите на ДДС в държавите членки на Аи В;
  4. придобиващият начислява ДДС като получател по доставката.

Чл. 21. (изм. – ДВ, бр. 95 от 2009 г., в сила от 01.01.2010 г.) (2) Мястото на изпълнение при доставката на услуга, когато получателят е данъчно задължено лице, е мястото, където получателят е установил независимата си икономическа дейност. Когато тези услуги се предоставят на постоянен обект, който се намира на място, различно от мястото, където получателят е установил независимата си икономическа дейност, то мястото на изпълнение е мястото, където се намира този обект. Когато няма място на установяване на независима икономическа дейност или постоянен обект, мястото на изпълнение на доставката е мястото на постоянния адрес или обичайното пребиваване на получателя.

Чл. 62. (5) Независимо от ал. 2, мястото на изпълнение на вътреобщностното придобиване е държавата членка, където стоките пристигат или завършва превозът им, когато са нилице едновременно следните условия:

  1. посредникът в тристранна оптерация придобива стоките под идентификационния си номер по чл.94, ал. 2;
  1. лицето по т.1 осъществява последваща доставка на стоките до придобиващия в тристранна операция;
  1. лицето по т. 1 издаде фактура за доставката по т. 2, отговаряща на изискванията на чл. 114, в която посочи, че е посредник в тристранната операция и че данъкът по доставката се дължи от придобиващия в тристранната операция;
  1. лицето по т. 1 декларира доставката по т. 2 във VHES-декларацията за съответния данъчен период.

 

Чл. 86. (3) Не се начислява данък при извършване на освободена доставка, освободено вътреобщностно придобиване, както и при доставка с място на изпълнение извън територията на страната.

Чл. 114 (3) ( Изм. – ДВ, бр. 94 от 2010 г., в сила от 01.01.2011г.) Когато регистрирано лице – посредник в тристранна операция, документира извършена доставка на стоки до придобиващия в тристранна операция, като основание за начисляване на данък във фактурата се посочва „ чл. 141 2006/112/ЕО”.

(4) Когато данъкът е изискуем от получателя, във фактурата не се посочват размерът на данъка и данъчната ставка. В този случай във фактурата се посочва изрично, че данъкъте изискуем от получателя, както и основанието за това.

ППЗДДС:

Чл. 9. (2) За доказване на обстоятелствата по чл. 62, ал. 5 от закона посредникът в тристранна операция следва да разполага със следните документи:

  1. фактура, издадена от прехвърлителя в тристранната операция, в която е посочен идентификационният номер по ДДС по чл. 94, ал. 2 от закона на посредника;
  2. (доп. – ДВ, бр 101 от 2006) фактура по чл.79, ал. 2, т. 1, издадена от посредника в тристранна операция, в която е посочен ДДС номерът на придобиващия в тристранната операция, издаден от държавата членка, където стокитепристигат;
  3. VHES-декларацията за съответния данъчен период, в която е декларирана доставката, във връзка с която е издадена фактурата по т. 2;
  4. (доп. – ДВ, бр 10 от 2011 г., в сила от 01.02.2011 г.) писмено потвърждение от придобиващия в тристранната операция, удостоверяващо, че стоките са получени, в което са посочени дата и място на получаване, вид и количество на стоката, вид, марка и регистрационен номер на превозното средство, с което е извършен транспортът,   име на лицето, предало стоките.

Place of supply of a service provided to a non-taxable person.

Question: Which is the place of supply of a service provided to a non-taxable person?

Answer: The general rule for determining the place of supply of a service provided to a non-taxable person is the following: when the recipient is a non-taxable person, this shall be the place where the supplier has established its independent economic activity.

An exception to this general rule are the services for which special provisions are applied regarding their place of provision, regardless is they are provided to a taxable or non-taxable person:

  • In case of services related to immovable property – the place of supply shall be the place where the immovable property is situated.
  • In case of supply of passenger transport services – the place of supply shall be the place where the passenger transport is carried out, in proportion to the mileage done.
  • In case of supply of restaurant and catering services – the place of supply shall be the place where the service are actually provided.
  • The place of supply in case of a short-term rental service/short-term provision of vehicles for use shall be the place where the vehicles are actually handed over to the recipient for use.
  • The place of provision of electronic communications services and radio and television broadcasting services, where the recipient of the said supplies is a non-taxable person, shall be the place where this person is established, has his permanent address or usually resides.

Services for which special provisions apply to the place of supply when the recipient is a non-taxable person:

  • The place of supply of a service which is provided by an intermediary acting in the name and on behalf of another person, provided to a non-taxable person, shall be the place of the main supply in connection with which the mediation has been performed.
  • In case of transportation of goods within the European Union – the place of supply shall be the territory of the member state where transportation begins if the service is rendered to a non-taxable person.
  • Transportation of goods outside the European Union – the place of supply shall be the place of performance of transportation, in proportion to the mileage done, if the service is rendered to a non-taxable person.
  • Forwarding, courier and postal services shall be equal to transportation services in the European Union, respectively transportation services outside the European Union.
  • The place of supply in case of a vehicle rental service or provision of vehicles for use, which is different from a short-term vehicle rental service or short-term provision of vehicles for use by a non-taxable person, shall be the place where the recipient is established, or has his permanent address or usually resides.
  • The place of supply in case of a vessel rental service or provision of vessels for use, which is different from a vessel short-term rental service or short-term provision of vessels for use, for entertainment or sports purposes, or for the personal needs of a non-taxable person, shall be the place where the entertainment vessel is actually provided to the recipient of the supply, when this service is actually provided by the supplier from the place of establishment of its economic activity or from a permanent site situated in that place.
  • Supply of intangible services
    • If the service is provided to a non-taxable person from a third country, the place of supply shall be the place where the recipient is established, or has his permanent address or usually resides.
    • If the service is provided to a non-taxable person from the European Union, the place of supply shall be the place where the supplier is established, or has his permanent address or usually resides.
  • In case of supply of services, and accompanying services, associated with cultural, artistic, sports, scientific, educational, entertainment or other similar events (including fairs and exhibitions), including the activity of organising them – the place of supply shall be the place where the service provided to a non-taxable person is actually rendered.
  • In case of supply of services relating to transport handling of goods – the place of supply shall be the place where the service provided to a non-taxable person is actually rendered.
  • In case of supply of services connected with the valuation, expert examination or work on a movable item – the place of supply shall be the place where the service provided to a non-taxable person is actually rendered.

Supplies with a place of transaction outside Bulgaria

Question: We trade with Greece in goods which are imported from China. Our Greek partners propose that we import the goods in Greece in their name, at their port, and that they pay the relevant customs duty and VAT rate in their name. Is that possible? What would the consequences ne for us? What documents do we have to issue and how do we include them in the accounting records? In what way would such sale be recorded on our part? Is this a case of Intra-European Union supply according to the VAT Act?

Answer: A definition ofIntra-European Union supply is provided in Article 7, paragraph 1, of the Value Added Tax Act (VATA): “Intra-European Union supply of goods” shall be any supply of goods, transported by or for the account of the supplier who is a person registered under this Act, or of the recipient from the territory of the country to the territory of another Member State, where the recipient is a taxable person or a non-taxable legal person registered for VAT purposes in another Member State.”

In this case, the supply is not from the territory of Bulgaria to the territory of Greece. Therefore, this is not a case of Intra-European Union supply. This supply is not Intra-European Union supply for the Greek company either because the goods are not dispatched or transported to the territory of the country to the territory of another European Union member state.

In case of supply of goods, the place of transaction is determined pursuant to the provisions of Article 17 of the VATA. Paragraph 2 of this article stipulates that the place of supply of goods which are dispatched or transported either by the supplier or by the recipient or by a third person shall be the place where the goods are at the time when dispatch or transport to the recipient begins.

Therefore, in the case described above, the place of transaction of the supply is outside Bulgaria. On the grounds of Article 86, paragraph 3, of the VATA, no tax shall be charged. It must be specified in the invoice that the place of transaction is outside the territory of the country.

For the purposes of verifying transportation and the place of performance of the transaction, the company shall have supporting transportation documents and contracts.

The accounting of the invoices does not differ from the acquisition and sales on the territory of the country. There are differences regarding the declaration of the documents in the VATA journals. The invoices issued for supplies with a place of transaction outside the territory of the country must be reflected in column 23 – turnover tax of supplies, pursuant to the provisions of Article 62, paragraph 2, of VATA, including turnover tax of supplies in conditions of distance sales with a place of transaction on the territory of another member state, from the sales journal for the taxation period during which they were issued.

The invoice which is issued by the supplier form China must not be specified in the acquisition journal because it is taxation document within the meaning of Article 112 of VATA.

Place of performance of the acquisition of goods and follow-up sale of the goods.

Question: A Bulgarian company, holding a registration under the VAT Act only in Bulgaria, acquires goods in Greece and organises their export from Greece to Turkey, where the goods are transported from Greece to Turkey. The Greek vendor has issued ab invoice for an Intra-European Union supply of goods for the sale to the Bulgarian company, which has been declared in the VIES return of the relevant period.

Which is the place performance of the acquisition of goods and the follow-up sale of the goods to the Turkish company?

Answer: On the grounds of Article 62, paragraph 2, of Value Added Tax (VATA), the place of transaction shall be in Bulgaria, despite the fact the goods never arrive in the country. The Bulgarian company shall self-charge VAT rate with a memorandum under Article 117 of VATA, which must be reflected in the sales journal. Regarding this question, there is a practice adopted by the National Revenue Agency, a Letter with Outgoing reference No 24-39-65 of 18 December 2015 and a Letter with Outgoing reference No 24-33-151 of 1 March 2012, which makes a specific provision that for any Intra-European Union supply of goods, when goods do not arrive and their transportation does not end on the territory of the country, the Bulgarian company – a buyer, shall not be entitled to a tax credit. The argument provided in support of the statement why no right of tax credit arises in this case is that in this scheme of supplies the goods are not used for making taxable supplies in Bulgaria or EU, because they have been exported to a third country. The letters stipulate that in the case of trans-border transactions, which are of a more complex nature and where the opportunity to exercise fiscal control of member states and the taxation of the actual final supply are made difficult, the provisions of Article 62, paragraph 2, of VATA have the role of a “protective net”, ensuring the operation of the VAT mechanism, by eliminating the possibility that the end use of goods or services is not charged with tax, where for the charging of tax in case of an Intra-European Union supply of goods, on the grounds of the bylaw mentioned above, no deduction of tax credit shall be done in view of judgments by the Court of Justice of the European Union on similar cases – associated cases Facet, C-536/08 and C-539/08 of 22 April 2010.

Regarding the follow-up sale of the goods to Turkey, it should be pointed out that this is not a case of export to Turkey within the meaning of Article 28 of VATA, because the goods do not leave from Bulgaria to Turkey. This supply from the Bulgarian company to the Turkish company is a supply with a place of transaction in Greece because it is there that the transportation of the goods begins (Article 17, paragraph 2 of VATA, analogous to Article 32 of Directive 2016/112/EC). No VAT is charged for this supply on the grounds of Article 86, paragraph 3, of VATA, because the place of transaction of this supply is outside the territory of Bulgaria, but the Bulgarian company should be familiar with Greek legislation due to the fact that this export most likely forms a turnover for registration under VAT in Greece.

In this case, if the Bulgarian company is registered under VAT Act in Greece, the Greek company – a supplier, will charge Greek VAT by issuing an invoice with the Greek VAT number, and for the export of the goods from Greece to Turkey, the Greek VAT number of the Bulgarian company shall be entitled to deduction of the charged Greek VAT.

Charging with VAT of acquisitions through the Internet

Question: A Bulgarian limited liability company operates as a Dropship online retailer – I will try to provide an explanation which is as detailed as possible: The company has an online store, makes sales all over Europe and outside EU, it does not actually possess any goods, it does not actually receive it, it publishes photographs on the site which are provided by the Chinese manufacturer, and the company adds a surplus charge, for example, the end customer buys an item of clothing from the site of the Bulgarian company at the price of 20 EUR – the Bulgarian company in turn processes the order and sends the code of the product, as well as 10 EUR to the Chinese vendor, and the Chinese vendor in turn sends the product directly to the end customer, i.e. the Bulgarian company actually only makes a profit from the difference in prices – a kind of commission to the sale. My question is: Is the limited liability company supposed to pay VAT within the meaning of distance sales, or are there any special taxation regulations, considering the fact that payment goes through the PayPal system or via bank transfer.

Answer: When organising sale of goods through the Internet, so called online sale, there occur supplies which go outside the scope of the generally accepted statutory provisions of VATA and require special attention.

Such are the sales conducted under the conditions specified in the question. According to them, the company in question is engaged in the sale of goods in its capacity as an entity which acts as an intermediary in the transaction between the seller and the buyer. According to the information contained in the question, during the performance of this activity, the company makes a profit from the difference between the cost of the product being sold, which is due to its seller, and the cost at which it was sold to the buyer. The taxation regulations pertaining to intermediary services depend of whether in the performance of intermediation the intermediary acts in its own name, but for the account of the seller, or if the intermediary acts in its own name and on its own account. In both cases, the compensation of the intermediary is in the form of commission rate, but the procedures for documenting and charging its supplies with taxes is totally different.

When in the performance of its obligations in connection with the act of intermediation an entity acts in the name and for the account of the vendor which has engaged this entity, the entity does not take part in the supply of goods and/or services in reference to which the entity acts as an intermediary. As a result of this, the intermediation provided by this entity is not directly associated with the charging of VAT on these supplies, and such charging may only be sought for the compensation received by the entity for the provision of the intermediation service. As a result of this, for the purpose of VATA, this entity is not listed, and should not be listed, as a supplier in the invoices for the supply of goods and services which are subject of the intermediation provided by it.

Totally different is the case when intermediation is provided on the grounds of a commission agreement. Pursuant to the provisions of Article 127, paragraph 2, of VATA, when a commission agent is acting in its own name, but for the account of its principal, three supplies shall be effected:

-          supply of goods between the commission agent and the third party;

-          supply of goods between the commission agent and the principal, the subject of which is the transfer of the real rights over the goods “by” the third party;

-          supply of goods between the commission agent and the principal.

In its actions in connection with the acquisition or sale of the goods of services, which the commission agent has sold or acquired in its own name, but for the account of its principal, the commission agent has acted in its own name, due to which, formally, it is the owner of the subject of the conducted transaction. At the same time, however, on the grounds of its internal relations with the principal, the actual owner of the subject of this transaction is the latter. Therefore, commercial law determines the transfer of the rights over the subject of the transaction from the commission agent to the principal as an “accounted transaction”. The subject of this transaction is the same product or service, acquired or sold in the name of the commission agent to the third party (parties). Therefore, the supply under the accounted transaction shall have a subject and value which are identical to the value of the transaction between the commission agent and the third party. This is stipulated in the provision of Article 127, paragraph 2, subparagraph 2, of VATA, in compliance with which the taxable amount of the transaction between the principal and the commission agent shall be equal to the taxable amount of the transaction between the commission agent and the third party.

The circumstances described in the question serve as grounds to presume that in this case the Bulgarian company is engaged in the sales in the capacity of an entity acting in its own name, “the ordering of the traded products is done on its site”, but for the account of the Chinese seller of the goods. Therefore, for the purposes of the tax treatment of its supplies under the provisions of VATA, the procedures stipulated in Article 127of VATA shall apply.

You would like to know whether the company in question is supposed to pay VAT within the meaning of the distance sales or if there are any taxation regulations, considering the fact that payment goes through the PayPal system or via bank transfer.

Irrespective of the fact that there is no information in your inquiry about the tax status of the entities to which the title to the goods being sold is transferred, “taxable legal entities or natural persons”, due to which it is impossible to make an accurate assessment of the procedure for documenting and charging with taxes the supplies which occur in the case of the sales in question, the information provided is sufficient to determine explicitly that no distance sales arise in this case. For a sale to be a distance one, in addition to being intended for a non-taxable person which is established in a EU member state, the goods being traded must be dispatched from the territory of the country – which circumstance in this case is missing.

In view of the fact presented above, it is very likely that the place of performance of the supplies made by the company is outside the territory of the country, in which case the company will not be charged with tax in this country. In order to give a legally correct and accurate answer to your question whether liabilities exist for the company, associated with charging and/or payment of VAT in this country, additional information is necessary, both for the entities to which the goods are sold – taxation status and country of establishment, and the exact document type and content – commercial, taxation and accounting, which are used to document and account for the sales in question. You did not even provide information in your inquiry whether the company is registered under VATA or not. The fact that payments are effected via bank transfer or through the PayPal system does not change the need for such documents to be exist and the obligation related to their issue.

In conclusion, we will add that the difference between what the parties to a transaction assume to be doing under certain circumstances and what turns out to have been done by them pursuant to the trade, legal and document analysis of their actions in connection with it, are particularly important in case of intermediation for supply of goods performed for the account of foreign entities.

I have the following question: We are a Bulgarian company which is registered under VATA. We acquire goods from the Czech Republic, but we do not make import to Bulgaria and we export the goods directly to Russia. I think that this is not a case of Intra-European Union supply of goods, but I would like to as what kind of supply this is and how it should be documented and reported in the journals.

Indeed, this is not a case of Intra-European Union acquisition of goods within the meaning of Article 13 of the Act – there is no movement of goods between European Union member states. Therefore, the provision of Article 62, paragraph 2, of the Act is inapplicable.

The place of transaction of the supply made by you to the Russian company is determined in compliance with the provisions of Article 17, paragraph 2, of the Act, namely – supplies outside the territory of the country (in this case the Czech Republic, and the provisions of the Czech legislation which are analogous to Article 28 of our act would be applicable to the supplies. In this reference, it is advisable to check if any liabilities arise for you in the Czech Republic in relation to the Czech VAT Act). As the supplies are outside the territorial scope of the Act, the invoice issued by you shall not include tax on the grounds of Article 86, paragraph 3, of the Act.

In the sales journal, the invoice issued by you is reflected in column 23 – turnover tax of supplies, pursuant to the provisions of Article 69, paragraph 2, of VATA, including turnover tax of supplies in conditions of distance sales with a place of transaction on the territory of another member state. You are not obligated to reflect in the acquisitions journal the invoice received from the Czech company.

VATA:

Article 13. (1) Intra-European Union acquisition shall mean acquisition of the right of ownership of goods, as well as the actual receipt of goods in the cases under Article 6 (2) herein, which are dispatched or transported to the territory of the country from the territory of another Member State, where the supplier is a taxable person registered for VAT purposes in another Member State.

Article 17. (2) Place of supply of goods which are dispatched or transported either by the supplier or by the recipient or by a third person shall be the place where the goods are at the time when dispatch or transport to the recipient begins.

Article 69. (2) For the purposes of Paragraph 1, the following shall furthermore be considered taxable supplies:

1. the supplies within the framework of the economic activity of the registered person, whereof the place of transaction is outside the territory of the country but which would have been taxable if effected within the territory of the country;

Article 86. (3) No tax shall be charged in the cases of effecting an exempt supply, an exempt intra-European Union acquisition, as well as in respect of any supply whereof the place of transaction is outside the territory of the country.

I purchase goods from the Netherlands and sell them in Italy. The seller is registered in the Netherlands, the buyer of the goods is registered in Italy, and we are registered in this country. The transportation from the Netherlands to Italy is performed by an Italian forwarder, which is different from the recipient company. We have received an invoice for the transportation, we have applied self-taxation and we have issued an invoice for this transportation service to the recipient company. What follows in these cases?

This is a case of a triangular operation within the meaning of Article 15 of the Act. The tax to this supply shall be paid by the end recipient – the Italian company. You do not charge tax in the invoice issued by you, and the reason for not charging tax pursuant to the provisions of Article 114, paragraphs 3 and 4 of the Act, which you need to specify is “Article 141 2006/112/EC” and the text that the tax to the supply is payable by the recipient. The supply performed by you in your capacity of an intermediary in a triangular operation should be reported in the VIES return. To verify the performance of the supplies, you need to have the documents listed in Article 9, paragraph 2, of the Rules on the application of the Act.

Regarding the transportation service re-invoicing by you – you do not charge tax again, this time on the grounds of Article 86, paragraph 3, in connection with Article 21, paragraph 2, of the Act. The tax to this transaction is payable by the recipient, and the supply itself needs to be reflected by you in the VIES return:

VATA:

Article 15. Triangular operation shall be the supply of goods between three persons registered for VAT purposes in three different Member States A, B and C, where the following conditions are simultaneously fulfilled:

1. a registered person in Member State A (transferor) effects a supply of goods to a person registered for the purposes of VAT in Member State B (intermediary) who then effects a supply of the said goods to a person registered for the purposes of VAT in Member State C (acquirer);

2. the goods are transported directly from A to B;

3. the intermediary is not registered for VAT purposes in Member States A and B;

4. the acquirer charges VAT as a recipient of the supply.

Article 21. (Amended, State Gazette No 95/2009, effective 1 January 2010) (2) The place of supply of services, in the case of a taxable person being the recipient, shall be the place where the recipient has established his economic activity conducted independently. Where these services are provided to a fixed establishment different from the place in which the recipient has established his economic activity conducted independently, the place of supply shall be the location of the fixed establishment. In the absence of a place of establishment of economic activity conducted independently or a fixed establishment, the place of supply shall be the place where the recipient has his permanent address or usually resides.

Article 62. (5) Notwithstanding Paragraph (2), the place of supply of the intra-European Union acquisition shall be the Member State where the goods arrive or where the transport thereof ends, where the following conditions are simultaneously fulfilled:

1. the intermediary in a triangular operation acquires goods under the identification number thereof referred to in Article 94 (2) herein;

2. the person referred to in Item 1 effects a subsequent supply of the goods to the acquirer in the triangular operation;

3. the person referred to in Item 1 issues an invoice on the supply referred to in Item 2, satisfying the requirements of Article 114 herein, stating therein that the said person is an intermediary in a triangular operation and that the acquirer in the triangular operation is the person liable for the tax due on the supply;

4. the person referred to in Item 1 declares the supply referred to in Item 2 in the VIES return for the relevant tax period.

Article 86. (3) No tax shall be charged in the cases of effecting an exempt supply, an exempt intra-European Union acquisition, as well as in respect of any supply whereof the place of transaction is outside the territory of the country.

Article 114. (3) (Amended, State Gazette No 94/2010, effective 1 January 2011) When the registered person who is an intermediary in a triangular operation documents a supply of goods effected to the acquirer in the triangular operation, the invoice shall state “Article 141 2006/112/EC” as grounds for not charging tax.

(4) Where the tax is chargeable from the recipient, the invoice shall not state the amount of tax and the rate of tax. In such case, it shall be specifically recorded in the invoice that the tax is payable by the recipient, as well as the grounds for this.

Rules on the Application of the Value Added Tax:

Article 9. (2) To prove the circumstances under Article 62 (5) of the Act the intermediary in a triangular operation shall have the following documents:

1. an invoice issued by the transferor in the triangular operation, stating the VAT identification number of the intermediary under Article 94 (2) of the Act;

2. (supplemented, State Gazette No 101/2006) an invoice under Item 1 of Article 79 (2) issued by the intermediary in the triangular operation, specifying the VAT number of the acquirer in the triangular operation, issued by the Member State wherein the goods arrive;

3. a VIES return for the relevant tax period in which the supply is declared in respect of which the invoice under Item 2 has been issued;

4. (supplemented, State Gazette No 10/2011, effective 1 February 2011, a written confirmation by the acquirer in the triangular operation, certifying the receipt of the goods, indicating the date and place of receipt, the type and quantity of the goods, and alternatively the type, make and registration number of the vehicle with which the transport is effected, the name of the person who handed over the goods.
